
Terms of Service
Welcome
These Terms of Service (“Terms”) govern your relationship with WinPay with respect to your use of WinPay’s wallet services (the “Services”). Your use of the Services is also subject to WinPay’s other policies, which are incorporated herein by reference.
Before accessing or using the Services (including browsing any WinPay website or related content), you must agree to these Terms. You may be provided with a customer profile to use the Services, and you may be required to register for an account on the Services (collectively, your “Account”). By using or registering an Account, or otherwise accessing the Services, you represent and warrant that you have reached the age of majority in your place of residence. If you have not, your legal guardian must review and consent to these Terms.
WinPay reserves the right, at its sole discretion, to amend, modify, supplement, or remove any provision of these Terms or any other WinPay policy at any time by posting revised terms on the Services. Your continued use of the Services after such changes are posted will constitute your acceptance of the amended Terms. If you do not agree to any part of the then-current Terms, or any other WinPay policy, rule, or code of conduct applicable to your use of the Services, your right to use the Services will terminate immediately and you must cease all use of the Services.
1.1 Use of the Services
1.1 License to Use the Services
Subject to your continued acceptance of and compliance with these Terms and any other WinPay policies, WinPay grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal, non-commercial entertainment purposes. You agree not to use the Services for any other purpose.
The following restrictions apply to your use of the Services:
- 1.11 You are fully responsible for any unauthorized use of the Services by minors. You assume all liability for any charges incurred by minors using your credit card or other payment instruments (e.g., PayPal).
- 1.12 You may not (and may not attempt to) buy, sell, lease, lend, or gift your Account, create an Account using false identity or information, or register or use the Services on behalf of anyone other than yourself. If you have been removed from or banned from any WinPay application, you are prohibited from using the Services.
- 1.1.3 You may not use the Services to advertise, solicit, or distribute any commercial advertising or promotional material, including chain letters, junk mail, spam, or any repetitive, deceptive, or unsolicited information.
1.2 Login Credentials and Your Account
You may be required to connect a cryptocurrency wallet to your Account, or you may access your Account using other credentials (your “Login Credentials”).
You must not share your account credentials or wallet seed phrases, nor permit any other person to access your Account or take any action that could compromise its security. If you become aware ofor reasonably suspect any breach of security—including loss, theft, or unauthorized disclosure of your Login Credentials—you must immediately notify WinPay and change your credentials.
You are solely responsible for maintaining the confidentiality of your Login Credentials, and you will be liable for all activities conducted through your Account, with or without your authorization.
1.3 Wallet Addresses, Private Keys, and Backups
Encrypted backups of certain wallet information may be stored on supported devices.
Private keys are associated with wallet addresses and together authorize the movement of digital assets to that address. You are solely responsible for the safekeeping of your private keys and any associated mnemonic phrases (“Secret Phrases”). You must ensure the security of your wallet addresses, Secret Phrases, and private keys.
Backing up your private keys, Secret Phrases, or passwords is criticallyimportant; failure to do so may result in loss of control over digital assets linked to your wallet. You acknowledge and agree that WinPay does not receive or store your wallet passwords, encrypted or unencrypted private keys, or Secret Phrases. If you forgetyour original password, WinPay cannot regenerate it for you. If you fail to securely back up any wallet address and private keypairs, you accept that any digital assets associated with that wallet will become inaccessible, and WinPay will bear no liability for any such loss.
1.4 Digital Asset Transactions
All proposed transactions in digital assets must be confirmed and recorded on the applicable public blockchain. Such networks are decentralized, peer-to-peer systems maintained by independent third parties, which WinPay does not own, control, or operate. We have no control over those blockchain networks and cannot ensure that any transaction you submit via our Services will be confirmed or processed.
By using WinPay, you acknowledge and agree that
(i) we have no ability to cancel or modify your transactions;
(ii) the relevant blockchain network may fail to complete or may significantly delay processing your transaction;
(iii) we do not store, send, or receive digital assets; and
(iv) any transfer of digital assets occurs on the associated blockchain network, not within any network owned or controlled by WinPay, and therefore we make no guarantees regarding the transfer of ownership or rights in any digital asset.
1.5 Community Posts (“Square” Posts)
When posting articles or media in the community “Square,” you must comply with the following standards:
- Content must not include any unlawful, pornographic, violent, discriminatory, threatening, or otherwise objectionable material that violates laws or public morality.
- WinPay reserves the right to remove any content that violates these standards and to impose penalties on the poster—including warnings, muting, or account suspension.
- You are solely responsible for the content you post; WinPay assumes no liability for its accuracy or legality.
- You must comply with applicable laws and platform rules and help maintain a positive online environment.
- WinPay may remove content or penalize users as required by regulators or for its own operational needs.
- Users who post prohibited content may face legal risks; WinPay disclaims all liability for such content.
1.6 Prohibited Uses
- Any violation of the following restrictions may result in immediate revocation of your access rights and may expose you to legal liability. You agree that you will not, under any circumstances:
- Engage in any conduct that WinPay deems inconsistent with the intended spirit or purpose of the Services, or misuse WinPay’s support services.
- Use or participate in (directly or indirectly) any form of fraud, exploit, automation software, emulators, bots, hacking, modification, or any unauthorized third-party software to alter or interfere with the Services, any WinPay application, or the WinPay user experience.
- Modify or cause the modification of the Services or any WinPay application files without WinPay’s express prior written consent.
- Disrupt, interfere with, or otherwise negatively affect the normal flow of the Services or other users’ experience, including manipulating outcomes, ranking, or exploiting bugs to gain unfair advantages.
- Interfere with, overload, or assist in interfering with or overloading any computer or server used to provide or support the Services or any WinPay environment.
- Initiate, assist, or participate in any attack—such as viruses or denial-of-service attacks—against the Services or other users.
- Attempt to access any Services, accounts, or connected systems by any means other than WinPay’s provided user interface, including circumventing or modifying any security measures.
- Post any abusive, threatening, obscene, defamatory, hateful, or otherwise offensive content, or engage in repeated unsolicited communication with others.
- Post any content containing nudity, excessive violence, or other offensive themes, or links thereto.
2. Ownership
2.1 Applications and Services
All rights, ownership and interests in the Services (including but not limited to any applications, titles, computer code, themes, objects, characters, character names, stories, dialogues, catchphrases, concepts, artwork, animations, sounds, musical works,audio-visual effects, operating methods, moral rights, documentation, in-app chat logs, character profile information, recordsgenerated through the use of the WinPay Application Client, as well as the WinPay Application Client and server software) shall vest in WinPay. WinPay reserves all rights related to its Applications and Services, including without limitation all intellectual property rights or other proprietary rights.
2.2 Virtual Content
WinPay owns, has been licensed to use, or otherwise holds the rights to all Content appearing in the Services or the WinPay Application. Notwithstanding anything to the contrary in this Agreement, you agree that you shall have no right or title to any Content appearing in the Services, including without limitation any virtual items, Content, features, merchandise, services or currency that appear in or originate from the WinPay Application, whether obtained within the Application, purchased from WinPay, or any other attributes associated with your account or stored on the Services.
3. User Content
3.1 Submission of User Content
“User Content” means any communications, images, sounds, and all materials, data, and information uploaded or transmitted by you via the WinPay Application Client or Services, or uploaded or transmitted by other users, including without limitation any chat text.
By transmitting or submitting any User Content in connection with your use of the Services, you represent, warrant, and confirm that such transmission or submission is
(a) accurate, non-confidential, and not misleading;
(b) does not violate any applicable laws, contractual restrictions, or the rights of any third parties, and that you have obtained all necessary consents from any third parties whose personal information or intellectual property rights are contained in the User Content;
(c) free of viruses, adware, spyware, worms, or other malicious code; and
(d) you acknowledge and agree that WinPay shall process any personal information contained in such content in accordance with its other policies at all times.
3.2 Your License to WinPay
You hereby grant to WinPay an irrevocable, perpetual, transferable, fully paid-up, royalty-free, worldwide license (including the right to sub-license and transfer to third parties) to reproduce, copy, restore, adapt, modify, create derivative works based on, manufacture, commercialize, publish, distribute, sell, license, sub-license, transfer, lease, transmit, publicly display, publicly perform, provide electronic access to, broadcast, communicate to the public by telecommunication, exhibit, perform, store in computer memory, use and exploit your User Content in any manner, as well as all modifications and derivative works thereof, in connection with our provision of the Services, including the marketing and promotion of the Services.
You also hereby grant WinPay the right to authorize third parties to exercise any of the rights granted to WinPay under these Terms of Service. You further hereby grant WinPay an unconditional, irrevocable right to use and exploit your name, portrait, and any other information or materials contained in any User Content without any obligations to you.
To the extent permitted by applicable law, you waive any right of attribution and/or any moral rights that you may have in the User Content, whether or not the User Content is altered or modified in any way. WinPay shall not claim any ownership interest in your User Content, and nothing in these Terms of Service shall restrict any rights you may have to use and exploit your User Content. WinPay has no obligation to monitor or enforce your intellectual property rights in the User Content.
3.3 User Interactions
- You shall be solely responsible for your interactions with other users of the Services and any other parties with whom you interact via the Services and WinPay Application. WinPay reserves the right to become involved in such disputes in any manner, but shall have no obligation to do so. You shall cooperate fully with WinPay in any investigation of suspected illegal, fraudulent, or improper activity, including without limitation allowing WinPay access to any password-protected portions of your account.
- If you have a dispute with one or more users, you shall indemnify us (and our officers, directors, agents, subsidiaries, joint ventures, and employees) from and against any and all claims, demands, and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such dispute.
4.Purchase Terms
4.1 Through the Services, you may use “real-world” currency to purchase a limited, personal, non-transferable, non-sublicensable, and revocable right to use
(a) virtual currency, including without limitation virtual cash, all for use within the WinPay Application;
(b) in-app items, content, or features; and
(c) other goods or services (collectively referred to as “Virtual Items”
in points (a)-(c)).
You may only purchase Virtual Items from us or our authorized partners via the Services, and shall not make such purchases through any other means whatsoever.
4.2 WinPay may manage, supervise, control, modify, or eliminate Virtual Items at any time, with or without prior notice. WinPay shall not be liable to you or any third party for any exercise of such rights. Transfer of Virtual Items is prohibited unless expressly authorized within the Services.
Except as expressly authorized within the Services, you shall not sell, purchase, redeem, or otherwise transfer Virtual Items to any individual or entity, nor attempt to do any of the foregoing, including without limitation to WinPay, other users, or any third parties.
5. Service Updates
You acknowledge that the Services are continuously evolving. WinPay may require you to accept updates to the Services as well as updates to the WinPay Application installed on your device or computer. You acknowledge and agree that WinPay may update the Services and the WinPay Application with or without prior notice to you. You may need to update third-party software from time to time to access the Services and use the WinPay Application.
6.Severability
You and WinPay agree that if any court of competent jurisdiction finds any provision of these Terms of Service to be illegal or unenforceable, in whole or in part, such provision shall be invalid only to the extent of such invalidity or unenforceability. This shall not affect the validity or enforceability of such provision in any other respect or in any other jurisdiction, nor shall it affect the remaining provisions of these Terms of Service, which shall continue in full force and effect.
7. General Provisions
7.1 Assignment
WinPay may assign or delegate all or part of these Terms of Service to any individual or entity at any time, with or without your consent. You shall not assign or delegate any rights or obligations under these Terms of Service without the prior written consent of WinPay, and any unauthorized assignment or delegation by you shall be null and void.
7.2 Supplementary Policies
WinPay may issue other policies relating to specific Services, such as forums, contests, or loyalty programs. Your right to use such Services shall be governed by both these specific policies and these Terms of Service.
7.3 Entire Agreement
These Terms of Service, any supplementary policies, and any documents expressly incorporated herein by reference constitute the entire understanding between you and WinPay. They supersede all prior understandings between the parties relating to the subject matter hereof, whether electronic, oral, or written, or established by custom, practice, policy, or precedent, with respect to the Services between you and us.
7.4 No Waiver
WinPay’s failure to require or enforce strict performance by you of any provision of these Terms of Service, or its failure to exercise any rights under these Terms of Service, shall not be construed as a waiver of WinPay’s right to assert or rely on any such provision or right in that or any other instance.
No express waiver by WinPay of any provision, condition, or requirement of these Terms of Service shall constitute a waiver of its obligation to comply with such provision, condition, or requirement in the future. Unless expressly provided herein, no representation, statement, consent, waiver, or other act or omission by WinPay shall be deemed a modification of these Terms of Service or be legally binding, unless such modification is set forth in a written document signed by duly authorized officers of both you and WinPay.
7.5 Force Majeure
WinPay shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to unforeseen circumstances or causes beyond WinPay’s control (such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials).
User Card Issuance Service Agreement
1.For B-end users: If the overall card chargeback, refusal-to-pay, and failure rate is ≥ 20%, a fee of 0.3 will be levied per transaction; if the rate is ≥ 50%, a fee of 0.6 will be levied per transaction. For C-end users: If the overall refusal-to-pay rate is ≥ 10%, a fee of 0.3 will be levied per transaction; if the rate is ≥ 40% [the corresponding fee standard is to be specified].
2.Card Usage Issues:
- 2.1 If the card network determines that the cardholder has engaged in malicious chargeback behavior during card usage, the account will be frozen and the balance will not be refunded.
- 2.2 If a debit failure occurs more than 3 consecutive times due to insufficient card balance (or the transaction amount is more than 3 times the card balance), the card will be frozen/canceled and the balance will not be refunded.
- 2.3 For users who engage in abnormal behaviors such as multiple authorizations without settlement, or repeated zero-amount authorizations (e.g., exploiting loopholes, free-riding, bulk card issuance with zero-amount authorization without actual consumption), the card will be frozen and canceled, and the balance will not be refunded.
- 2.4 Once the card is successfully issued, the card issuance fee is non-refundable. The funds in the card can be returned to the balance account upon card cancellation or withdrawal.
- 2.5 A canceled card cannot be restored.
- 2.6 Any violation of the above clauses, or triggering of unforeseen bank risk control measures, will be deemed as improper card usage. The platform reserves the final interpretation right. In such cases, the card/account will be frozen/canceled and the balance will not be refunded.
- 2.7 When choosing to apply for a card, please pay attention to the scenario description and select a prepaid card that matches your intended usage scenario as much as possible. The platform shall not bear any liability if payment cannot be made on individual merchant platforms.
